BSides Cleveland Sponsorship Agreement

This Sponsorship Agreement ("Agreement") is entered into on the date this agreement has been fully executed, by and between BSides Cleveland ("Organizer"), a non-profit organization registered in the State of Ohio, and ("Sponsor"), collectively referred to as the "Parties."

1. Term of Agreement

This Agreement is valid from the date it is fully executed until the conclusion of the sponsored event, BSides CLE Conference, to be held on .

2. Sponsorship Benefits

The Organizer agrees to provide Sponsor with those items below that are listed within the sponsorship package selected by Sponsor:

• Display of Sponsor's logo on the event website and printed materials.
• Recognition as a — Select — Bronze Silver Gold Diamond Presenting sponsor during the event.
• Opportunity to include promotional materials in attendee packages.
• Sponsor may use the following tag line on its marketing materials during the term of this Sponsorship Agreement: "Official Sponsor of BSidesCLE ".
• Organizer will provide material support as included in the selected Sponsor Package (ie table, chairs, and any complimentary passes). Sponsor is solely responsible for their promotional materials for distribution from their table and any system(s) necessary for their presentation. Power may be available upon request.

3. Sponsor Obligations

The Sponsor agrees to:

• Provide logo artwork for print materials (t-shirts and signage) to the Organizer no later than .
• Provide all other promotional materials (e.g., URLs, banners, digital assets) and ship 300–500 promotional items for attendee distribution to arrive no later than .
• Complete payment of $ to the Organizer upon acceptance of this Agreement.
• Sponsor's representative and attendees shall comply with the Organizer's Code of Conduct throughout the event.
• Sponsor agrees to allow Organizer to use Sponsor's trademark/logo/tagline solely to perform and fulfill its obligations under the selected Sponsorship Package and this Sponsorship Agreement.

4. Payment Terms

Full payment is due upon execution of this Agreement. Failure to pay the full balance may result in cancellation of sponsorship benefits. Payments should be made via the Zeffy sponsorship portal. Organizer will not provide Sponsor any refunds after printed materials have been ordered.

5. Marketing and Trademark Usage

The Sponsor may use the following tagline on its marketing materials during the term of this Agreement: "Official Sponsor of BSidesCLE." The Organizer is permitted to use the Sponsor's trademark/logo/tagline on promotional materials related to the event. All speaker and workshop slots are filled through a Call for Presentation (CFP) process. Sponsor is not entitled to speaker, training, or workshop slots to promote their products or services.

6. Non-Endorsement

The use of the Sponsor's name does not constitute an endorsement by the Organizer or the event. The Sponsor may not represent that its products, services, or programs are endorsed by the Organizer.

7. Non-Exclusivity

This Agreement does not grant the Sponsor exclusive rights or establish an exclusive relationship between the Sponsor and the Organizer.

8. Limited Liability

In the event that circumstances beyond the commercially reasonable control of Organizer interferes with, or prevents, Organizer from fulfilling, in part, or all of, Sponsor's promotional benefits under this Sponsorship Agreement, Sponsor, by signing this Sponsorship Agreement, holds Organizer, Security BSides, as well as their respective Board of Directors and employees harmless from all legal and financial liability to Sponsor, caused by such circumstances, beyond the fee paid by Sponsor for this sponsorship.

9. Force Majeure

Neither Security BSides, Organizer, or Sponsor shall be deemed in default of this Sponsorship Agreement to the extent that performance of its obligations or attempts to cure any breach are delayed or prevented by reason of any act of God, fire, natural disaster, accident, act of government, or any other causes beyond its commercially reasonable control.

10. Data Privacy

Organizer will share contact information only for attendees who have explicitly opted in to contact sharing; such information will be provided to Sponsors after the conclusion of the event. Sponsors are welcome to solicit contact information directly from attendees at their exhibitor table during the event. Organizer will not otherwise share or distribute attendee contact information to Sponsor under any circumstances.

11. Sales

Sponsor must obtain and satisfy all necessary licensing and certificates in order to sell merchandise. If selling merchandise, Sponsor must provide proof of applicable license(s)/certificate(s) to Organizer prior to the event. Sponsor is responsible for all equipment necessary to complete sales transactions.

11. Rejection of Sponsorship

The Organizer reserves the right to reject any potential Sponsor for any reason.

12. Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of Cuyahoga County, Ohio. This Agreement constitutes the entire understanding between the Parties. Any modifications must be made in writing and signed by both Parties.
